1. Acceptance of Terms

By accessing and using Legacy Plans ("the Service," "we," "our," or "us") at legacyplans.ai, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use the Service. These Terms constitute a legally binding agreement between you and Legacy Plans.

2. Description of Service

Legacy Plans is a comprehensive end-of-life planning and legacy preservation platform. The Service enables you to prepare, organize, and securely store information and messages to be delivered to your designated contacts upon your verified passing. The Service includes:

Core Features

• Goodbye Messages: Create personalized letters and messages for designated recipients with rich text formatting and attachments
• Instructions: Document step-by-step guidance for loved ones across categories including assets, wishes, medical, legal, and personal matters
• Trusted Contacts: Designate and manage contacts with specific roles (executor, beneficiary, guardian, medical proxy, witness)
• Document Vault: Securely upload and organize important documents such as wills, trusts, insurance policies, and powers of attorney

Asset Management

• Digital Assets: Document social accounts, subscriptions, domains, and other digital properties with access instructions
• Cryptocurrency & NFTs: Record wallet information, blockchain details, and recovery instruction hints (we never store actual private keys or seed phrases)
• Financial Accounts: Track banking, investment, insurance, and loan accounts with designated beneficiaries

Planning Tools

• Pet Care Plans: Document pet information, care requirements, and designate primary and backup guardians
• Celebration of Life: Record ceremony preferences, burial wishes, music selections, readings, and special requests

Verification & Delivery

• Check-In System: Regular activity monitoring with customizable reminder frequencies via email, SMS, or WhatsApp
• Death Verification: Multi-party confirmation system with configurable requirements and waiting periods
• Automated Delivery: Secure delivery of messages and portal access to recipients upon verified passing
• Contact Portal: Secure portal where designated contacts can access assigned instructions, documents, and asset information

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and truthful information during registration

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password
• Enable two-factor authentication for enhanced security (recommended)
• Immediately notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Respond to check-in reminders according to your configured schedule

You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that appear to be compromised or misused.

5. Check-In System

The Service includes an activity monitoring system designed to detect prolonged inactivity. By using this feature:

• You agree to receive check-in reminders via your selected channels (email, SMS, WhatsApp)
• You understand that failure to respond to check-ins may trigger the verification process
• You are responsible for configuring appropriate check-in frequencies for your circumstances
• You may pause reminders temporarily for planned absences (e.g., travel, hospitalization)
• You can cancel any initiated verification by simply checking in to your account

6. Death Verification Process

Our verification process is designed to protect against premature or unauthorized release of your information. By using the Service, you acknowledge and agree that:

Verification Requirements

• Verification requires confirmation from the number of contacts you specify (1-5 confirmations)
• A safety waiting period you configure (1-90 days) applies before content delivery
• Only contacts you designate as verification contacts can participate in the process
• Each verification contact receives a unique, secure token to submit their response

Your Responsibilities

• Keep your verification contacts informed about their role and responsibilities
• Maintain accurate and current contact information for all verification contacts
• Configure verification settings that reflect your preferences and circumstances
• Regularly review and update your verification contacts as relationships change

Limitations

• Legacy Plans is not liable for delays or failures in the verification process due to undeliverable emails, unresponsive contacts, or technical issues
• We cannot guarantee verification will occur if your contacts are unable or unwilling to participate
• False or fraudulent verification attempts may result in legal consequences for responsible parties

7. Content Delivery

Upon successful verification and completion of the waiting period:

• Goodbye messages are delivered via email to designated recipients
• Designated contacts receive secure portal access to view assigned instructions, documents, and asset information
• Delivery is attempted to the email addresses on record at the time of verification
• We make reasonable efforts to ensure delivery but cannot guarantee receipt by all recipients
• Content is delivered as-is; we do not modify, censor, or review your content before delivery

8. Trusted Contacts

By adding trusted contacts to the Service, you represent and warrant that:

• You have the consent of each contact to store their information and contact them on your behalf
• The contact information you provide is accurate and current
• You have informed contacts of their designated roles and responsibilities
• You accept responsibility for any communications sent to contacts through the Service

Trusted contacts may receive verification requests, portal access invitations, and content deliveries. You are responsible for ensuring they are prepared to receive such communications.

9. User Content

You retain ownership of all content you create, upload, or store through the Service ("User Content"). By using the Service, you grant us a limited license to:

• Store, process, and back up your User Content on secure servers
• Transmit your User Content to designated recipients upon verified passing
• Display your User Content to you within the Service interface
• Make your User Content available to designated contacts through the portal

This license is limited to operating the Service and terminates when your account is deleted (subject to any pending deliveries or legal retention requirements).

10. Prohibited Content and Conduct

You agree not to:

• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Use the Service to distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to other users' accounts or data
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service for any purpose that violates applicable laws or regulations
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to bypass security measures or verification requirements
• Use the Service to harass, threaten, or harm any individual
• Store content that infringes on intellectual property rights of others

We reserve the right to remove content and terminate accounts that violate these prohibitions.

11. Document Storage

The Document Vault feature allows you to upload and store files. You acknowledge that:

• Storage limits may apply based on your subscription plan
• You are responsible for maintaining your own backups of important documents
• Documents may be shared with contacts you explicitly designate
• We employ encryption and security measures but cannot guarantee absolute security
• Document metadata (execution dates, expiration dates) is stored to enable reminder features

12. Cryptocurrency and NFT Information

The Service allows you to document cryptocurrency and NFT holdings. Important disclaimers:

• No Custody: We do not hold, manage, or have access to your actual cryptocurrency or NFT assets
• Hints Only: We store only location hints and recovery instructions, never actual private keys, seed phrases, or passwords
• No Financial Advice: Information provided is for documentation purposes only and does not constitute financial advice
• Your Responsibility: You are solely responsible for the security of your actual crypto assets
• Value Estimates: Any estimated values are user-entered and may not reflect current market prices

13. Privacy, Data Security & Our No-Sale Commitment

Your privacy is fundamental to our Service. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

Security Measures

• All sensitive data is encrypted at rest (AES-256) and in transit (TLS 1.3)
• Row-level security ensures users can only access their own data
• Two-factor authentication is available for enhanced account security
• You may request deletion of your data at any time
• Service providers process data only on our behalf under strict contracts

14. Subscription and Payment

Certain features may require a paid subscription. If you subscribe to a paid plan:

• You agree to pay all fees associated with your selected plan
• Subscriptions automatically renew unless cancelled before the renewal date
• Price changes will be communicated in advance with the option to cancel
• Refunds are handled according to our refund policy
• Non-payment may result in account limitations or suspension

Payment Processing

Payments are processed by Stripe, Inc. By purchasing, you agree to Stripe's Terms of Service.

Refund Policy

• Annual Subscriptions: Full refund within 30 days, no questions asked.
• Lifetime Subscriptions: Full refund within 60 days if unsatisfied.
• After Refund Period: No refunds except as required by law.

15. White Label Services

Legacy Plans may be offered through partner organizations under their branding. If you access the Service through a white-label partner:

• These Terms still apply to your use of the underlying Service
• The partner may have additional terms that also apply
• Your content remains private and is not shared with the partner organization
• Support may be provided by the partner or by Legacy Plans depending on the arrangement

16. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Legacy Plans and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute the Service or its components
• Reverse engineer, decompile, or attempt to extract source code
• Use our trademarks, logos, or branding without written permission
• Create derivative works based on the Service

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM:

• Any warranty that the Service will be uninterrupted, secure, or error-free
• Any warranty regarding the accuracy or reliability of information obtained through the Service
• Any warranty that the Service will meet your specific requirements
• Any warranty regarding delivery of content to recipients

Not Legal Advice: The Service is not a substitute for professional legal, financial, or medical advice. We recommend consulting qualified professionals for estate planning matters.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGACY PLANS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenues, data, or goodwill
• Damages arising from your use or inability to use the Service
• Damages arising from unauthorized access to or alteration of your data
• Damages arising from delays or failures in verification or content delivery
• Damages arising from actions of your trusted contacts or message recipients

Our total liability for any claims arising from the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

19. Indemnification

You agree to indemnify, defend, and hold harmless Legacy Plans, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Claims by your trusted contacts or message recipients

20. Termination

By You: You may terminate your account at any time through your account settings. Upon termination, your data will be deleted according to our data retention policy.

By Us: We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• Your account appears to be compromised
• You engage in fraudulent or harmful activity

Upon termination, your right to use the Service immediately ceases. Pending deliveries may still be completed if verification has already been confirmed.

21. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law. Class action lawsuits and class-wide arbitration are waived to the extent permitted by law.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal proceedings shall be brought in the courts located in Delaware.

23. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification to registered users for significant changes

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

24. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

25. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Legacy Plans regarding the Service and supersede all prior agreements and understandings.
